1. Acceptance of Terms

By accessing or using any website, platform, API, product, or service operated by KUPIS Fintech Private Limited ("the Company", "we", "us", or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our services.

These Terms constitute a legally binding agreement between you ("User", "Client", or "you") and KUPIS Fintech Private Limited, a company incorporated under the Companies Act, 2013, Government of India, with registered office in Rajahmundry, Andhra Pradesh, India.

2. Definitions

• "Services" means verification APIs, WhatsApp solutions, SMS services, device management, software development, and any other services provided by the Company.
• "Platform" means any website, application, or portal operated by the Company including kupisfintech.com, kreativeupi.com, and verifynow.ind.in.
• "Products" means hardware products including UPI printers, Android POS devices, and related accessories sold under the Kreative UPI Solutions brand.
• "API" means application programming interfaces provided by the Company for integration by clients.
• "Verified Data" means identity or business information confirmed through official government databases via our verification services.

3. Eligibility

To use our services, you must:

• Be at least 18 years of age.
• Be a legal resident or entity registered in India, or a foreign entity operating lawfully in India.
• Have the legal authority to enter into binding contracts.
• Provide accurate and truthful information during registration and use.

4. Account Registration and Security

Some services require account registration. You are responsible for:

• Providing accurate and up-to-date account information.
• Maintaining the confidentiality of your login credentials and API keys.
• All activities that occur under your account.
• Immediately notifying us of any unauthorized access at contact@kupisfintech.com.

We reserve the right to suspend or terminate accounts that violate these Terms or that we suspect are being used fraudulently.

5. Verification Services — Terms of Use

5.1 Permitted Use

Our verification APIs may be used only for lawful purposes including:

• KYC and onboarding of your customers with their consent.
• Business verification for vendor or partner due diligence.
• Fraud prevention and identity confirmation in your legitimate business operations.

5.2 Prohibited Use

You must not use our verification services to:

• Verify individuals or entities without their knowledge and consent.
• Build unauthorised databases of personal information.
• Engage in unlawful surveillance, stalking, or discrimination.
• Conduct verification for purposes that violate Indian law.
• Resell or redistribute verification results without our written permission.

5.3 Accuracy Disclaimer

Verification results are based on data returned from government and financial databases. While we strive for accuracy, we do not guarantee that results are error-free. You should not rely solely on our verification results for high-stakes decisions. We are not liable for errors in data held by source databases.

6. API Usage

API access is subject to rate limits, fair use policies, and any additional terms in your service agreement. You agree to:

• Use APIs only for your stated purpose as agreed at onboarding.
• Not reverse engineer, decompile, or attempt to extract source code from our APIs.
• Not attempt to exceed rate limits or circumvent access controls.
• Keep your API keys confidential and revoke compromised keys immediately.
• Comply with all applicable laws when integrating and using our APIs.

7. WhatsApp and SMS Services

When using our WhatsApp Business API or SMS services, you agree to:

• Send messages only to recipients who have given consent to receive communications from you.
• Comply with WhatsApp's Business Policy and Meta's Commerce Policy.
• Comply with TRAI's Telecom Commercial Communications Customer Preference Regulations (TCCCPR).
• Register DLT templates through the appropriate operator portals for promotional and transactional SMS.
• Not send spam, unsolicited bulk messages, or misleading content.
• Take responsibility for the content of all messages sent through our platform.

8. Product Sales — Terms

8.1 Orders and Payment

Orders for hardware products (UPI printers, POS devices, accessories) are confirmed upon receipt of payment. We accept payments through the methods specified at the time of purchase. Prices are in Indian Rupees (INR) and include applicable taxes unless stated otherwise.

8.2 Delivery

We ship products to addresses within India. Delivery timelines are estimates and may vary based on location and availability. We are not responsible for delays caused by courier partners, natural disasters, or force majeure events.

8.3 Returns and Refunds

Products may be returned within 7 days of delivery if found to be defective or not as described. Opened products that are functioning correctly are not eligible for return. Refunds for valid returns will be processed within 14 working days.

8.4 Warranty

Hardware products carry a manufacturer warranty as specified in the product documentation. Warranty does not cover physical damage, liquid damage, or damage from misuse.

9. VerifyNow Platform Terms

Use of the VerifyNow platform (verifynow.ind.in) is subject to these Terms plus any additional platform-specific terms displayed on that website. Key obligations:

• You must complete verification using only your own genuine identity documents.
• Submitting false or another person's documents for verification is strictly prohibited and may be reported to law enforcement.
• Verified profiles may not be transferred to another person or entity.
• We reserve the right to revoke verification status if fraud is detected.

10. Intellectual Property

All content on our websites and platforms — including text, graphics, logos, product names, and software — is the property of KUPIS Fintech Private Limited or its licensors.

• You may not copy, reproduce, distribute, or create derivative works without our prior written consent.
• Trademarks including "KUPIS Fintech", "Kreative UPI Solutions", and "VerifyNow" may not be used without our permission.
• API access grants a limited, non-exclusive, non-transferable license to use our APIs for the agreed purpose only.

11. Limitation of Liability

To the maximum extent permitted by applicable Indian law:

• Our total liability for any claim arising from use of our services shall not exceed the amount you paid us in the 3 months preceding the claim.
• We shall not be liable for indirect, incidental, consequential, or punitive damages.
• We are not liable for third-party service failures (government databases, telecom operators, payment gateways).
• We are not liable for losses arising from unauthorized access to your account due to your failure to protect credentials.

12. Indemnification

You agree to indemnify and hold harmless KUPIS Fintech Private Limited, its directors, employees, and agents from any claims, losses, damages, or expenses (including reasonable legal fees) arising from:

• Your violation of these Terms.
• Your violation of applicable laws or regulations.
• Your misuse of our verification APIs or communication services.
• Content or data you submit to our platforms.

13. Suspension and Termination

We may suspend or terminate your access to our services if:

• You violate these Terms or our acceptable use policies.
• We are required to do so by law or regulatory order.
• Your account shows signs of fraudulent activity.
• You fail to pay amounts due for services rendered.

You may terminate your account at any time by contacting us. Termination does not relieve you of obligations for amounts due.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or your use of our services shall be:

• First attempted to be resolved amicably through direct negotiation.
• If unresolved within 30 days, submitted to arbitration under the Arbitration and Conciliation Act, 1996.
• Subject to the exclusive jurisdiction of courts in Rajahmundry, Andhra Pradesh, India.

15. Force Majeure

We shall not be liable for delays or failures in performance resulting from events beyond our reasonable control, including natural disasters, government actions, telecom network failures, power outages, or cyberattacks.

16. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on our website with a revised effective date. Continued use of our services after a change constitutes acceptance of the updated Terms. We will provide notice of material changes via email where applicable.

17. Severability

If any provision of these Terms is found to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
